Earnings analysis
BWXT's Government business drives profit growth
Commercial Operations leads revenue growth, but its margins lag last year. Guidance implies fourth-quarter revenue and adjusted EBITDA above a year earlier, with lower free cash flow.
In this analysis
This is a release-and-filing analysis, with prior-quarter comparisons and Investor Day context. We did not review earnings-call remarks or Q&A.
BWX Technologies earned more from Government Operations in the third quarter even as Commercial Operations supplied the larger revenue increase. Government operating income rose $25.2 million on a $22.4 million revenue increase.1
The distinction matters for the earnings outlook: Government generated more profit from modest sales growth, while Commercial added sales through both an acquisition and existing operations.1,2 Quarterly cash generation strengthened too, helped by higher net income, advance billings and working-capital management; income-tax payment timing partly offset those benefits.1

Government turns modest sales growth into more profit
Government revenue grew 3.6% from a year earlier. BWXT attributed the increase to special materials and advanced nuclear, partly offset by lower naval propulsion volume.1 The filing also identified growth associated with Aerojet Ordnance Tennessee and enrichment operations; Aerojet Ordnance Tennessee was already included in both third-quarter periods.2
Government’s GAAP operating margin reached 19.2%, up from 15.8% a year earlier.1 BWXT attributed the operating-income increase primarily to the revenue changes and integration expenses that had affected the prior-year period.2

Cost of operations plus selling, general and administrative expenses rose just $265 thousand in Government Operations.2 Higher equity income from investees contributed $4.0 million, accounting for 15.8% of the segment’s operating-income increase.1,2
Company-wide net favorable contract-estimate changes added $3.6 million to operating income, or 2.8% of the total.1,2 That benefit was only $0.6 million larger than a year earlier.2 The disclosed company-wide estimate changes therefore account for little of the quarterly profit improvement.1,2
The nine-month comparison has a different starting point: Government’s 2025 results included a $29.4 million favorable adjustment on a nuclear operations contract.2
Higher corporate expenses absorbed part of the segment gains: unallocated corporate expense reached $16.8 million, compared with $8.0 million a year earlier.1 BWXT attributed the increase mainly to restructuring and transformation spending, merger-related legal and consulting costs, and healthcare claim timing.2
Commercial growth extends beyond the acquisition
Commercial revenue rose 25.2% from a year earlier.1 Precision Components Group, acquired in July, supplied part of that increase; inspection, maintenance, modification and refurbishment work also contributed.2

Excluding only PCG’s stated contribution, Commercial revenue grew 14.7%, by our calculation; Medical remains in both periods.1,2 Kinectrics, acquired in May 2025, was already included in both third-quarter periods.2
Commercial adjusted EBITDA grew 16.6%, slower than revenue. BWXT attributed the pressure on non-GAAP operating-income growth to product and service mix and investment in selling, general and administrative functions.1 The filing also identified higher acquisition and restructuring expenses as a drag on GAAP operating-income growth.2
Commercial’s GAAP operating margin fell to 8.4% from 9.5%.1 That segment-wide margin combines PCG with the rest of Commercial Operations.1,2
Quarterly bookings fall short of sales; the longer window holds up
BWXT booked 0.56 dollars of new business for each dollar of revenue in Q3. Both Government and Commercial bookings were below their respective quarterly revenues.1 The year-earlier comparison includes large, multi-year special materials projects that BWXT identified as a driver of its backlog.6

Across the four quarters ended September 30, bookings totaled $4.19 billion against $3.60 billion of revenue. That produces a book-to-bill ratio of 1.16, a less abrupt picture than the single-quarter result.1,3,4,5
BWXT describes major new U.S. Government awards as typically following congressional approval of the next fiscal year’s budget.2 President and Chief Executive Officer Rex D. Geveden said BWXT expects increased conversion of its bid pipeline into firm awards through the rest of 2026 and into 2027.1
Total backlog reached $8.56 billion, up 15.8% from a year earlier and 1.9% from June. The quarterly increase needs to be read alongside the segment movements.1,4
Government backlog fell $315.8 million during Q3, while Commercial backlog rose $473.9 million. Commercial’s reported ending balance exceeds June backlog plus Q3 bookings minus Q3 revenue by $572.9 million. This roll-forward leaves that difference unallocated.1,4
The total includes $1.97 billion of unfunded U.S. Government backlog.2 On a net-balance basis, unfunded backlog fell $285.5 million since June, while backlog excluding those unfunded amounts increased $443.6 million.2,7
BWXT expects to recognize approximately 46% of September backlog as revenue by the end of 2027.2 Its June estimate was approximately 55% through the same end date; the later estimate starts one quarter later.2,7 Backlog excludes unconsolidated joint-venture contracts and approximately $1.4 billion of unexercised options.2
Cash generation benefits from payment and billing timing
Quarterly operating cash flow reached $202.7 million. BWXT attributed the improvement to higher net income, advance billings and working-capital management, partly offset by income-tax payment timing. Capital spending also increased, which BWXT attributed to the timing of growth projects, primarily in Commercial Operations.1
For the first nine months, operating cash flow increased $98.9 million from the comparable 2025 period.1 BWXT attributed the increase primarily to favorable timing of vendor payments, customer billings and project cash flows, together with higher net income. Lower income taxes payable partly offset those benefits.2

The accounts-payable change contributed $150.3 million to nine-month operating cash flow, approximately one-third of the total.1 That timing contribution limits how much of the cash improvement can be treated as a recurring earnings benefit.1,2 The nine-month cash flow statement reports no amount on its repurchases of common stock line.1
At September 30, BWXT held $568.5 million of cash against $2.02 billion of long-term debt at carrying value.1 Its revolver was undrawn, with $1.25 billion available. The capital structure includes $1.25 billion of 0% convertible senior notes due 2030, issued in November 2025.2
Quarterly interest expense fell $8.9 million to $5.1 million. The release attributed non-GAAP EPS growth partly to lower interest expense and a lower effective tax rate, alongside higher non-GAAP operating income. Lower other income partly offset those gains.1
The release’s prior-year non-GAAP tax-rate row is internally inconsistent: it prints 20.0%, while its tax and pretax amounts imply 23.6%. The corresponding Q3 2026 calculation is 22.2%, supporting the release’s description of a lower rate when calculated on that basis.1
Guidance implies more fourth-quarter earnings, less cash than last year
November’s guidance update narrowed the non-GAAP EPS range, raised the free-cash-flow floor and set adjusted EBITDA at the midpoint of the prior range.1,4 Revenue guidance was reaffirmed.1
BWXT’s 2026 guidance changes scope during the year
| Issued | Revenue, $m | Adjusted EBITDA, $m | Non-GAAP EPS, $ | Free cash flow, $m |
|---|---|---|---|---|
| February 23 | ~3,7503 | 645–6603 | 4.55–4.703 | 305–3203 |

| August 3 | ~3,8004 | 662–6724 | 4.70–4.804 | 345–3604 |
| November 2 | ~3,8001 | ~6671 | 4.72–4.771 | 350–3601 |
All figures are forecasts; ~ means approximately. Adjusted EBITDA and free cash flow are non-GAAP. May excluded PCG; August included it.1,4,5
The full-year progression includes an acquisition-related scope change: May guidance excluded PCG, while August guidance included its contribution. August guidance covers a broader set of businesses than May’s.4,5
Subtracting nine-month results from the current full-year outlook implies fourth-quarter revenue above both Q3 2026 and Q4 2025.1,2,3 Implied adjusted EBITDA is above Q4 2025 and roughly in line with Q3 2026, allowing for rounded guidance. The implied free cash flow is below the year-earlier fourth quarter.1,3,4,5
BWXT’s implied fourth quarter separates earnings from cash
| Measure | Q4 2025 actual | Q4 2026 implied, approximate |
|---|---|---|
| Revenue · GAAP, $m | 885.83 | ~1,0851,2 |

| Diluted EPS · non-GAAP, $ | 1.083 | ~1.27–1.321,4,5 |
| Free cash flow · non-GAAP, $m | 56.83 | ~34.4–44.41,4,5 |
TGOs calculations subtract nine-month results from full-year guidance. Revenue and adjusted EBITDA guidance are rounded; free cash flow uses the sum of rounded quarterly releases. Quarterly EPS need not sum exactly to annual EPS.1,2,4,5
The cash arithmetic calls for restraint in extending Q3’s performance into year-end.1,4,5
The portfolio changes the base for the next year
BWXT acquired PCG for approximately $216.8 million in July. BWXT says the acquisition expands its heavy-manufacturing footprint and adds U.S. commercial nuclear production capacity.2 The acquisition cash flow shown above is net of cash acquired and is a separate measure from the stated transaction price.1,2
BWXT also agreed in July to sell its medical business to Nordic Capital in a transaction valued at up to $800 million. The transaction is subject to regulatory approvals and is expected to close in 2026 or the first quarter of 2027. BWXT will retain a minority interest and continue providing specialized isotope and radiochemical expertise.2
BWXT classified the medical business, part of Commercial Operations, as held for sale at September 30, 2026. It remains in reported continuing segment results.1,2 At Investor Day, BWXT said the midpoint of its 2026 guidance included approximately $130 million of Medical revenue.8 BWXT described the sale as enabling greater focus on nuclear national defense and commercial nuclear power.4
For 2027, BWXT’s preliminary outlook calls for high-single-digit revenue growth and high-single-digit to low-double-digit growth in adjusted EBITDA and non-GAAP EPS.1 September’s Investor Day framework assumed a year-end Medical sale.8 The filing’s expected closing window extends into the first quarter of 2027, leaving the timing relevant to the consolidated revenue base.1,2
BWXT’s Janus selection carries a longer delivery horizon
BWXT’s Advanced Nuclear Reactor technology was selected for the Army’s Janus Program at Fort Campbell and for Prodigy Clean Energy’s transportable nuclear power plant project in Canada.1 BWXT’s Investor Day presentation said the Janus Program targets site groundbreaking in 2028 and operations in the early 2030s.8
