The transaction brings in Lexington Partners as lead investor while AE Industrial continues a partnership that began with its initial investment in 2019. Several institutional investors also invested, and Blue Raven management and certain existing shareholders rolled proceeds into the transaction.1

The vehicle is named AE Industrial Partners BR Fund, LP. AE Industrial did not say how much of the approximately $850 million is new capital for Blue Raven, or what the company is valued at.1

Blue Raven serves as an authorized and exclusive distributor of highly engineered parts, complex systems and hard-to-source components for original equipment manufacturer partners, reaching customers in more than 40 countries. Its proprietary SEDNA analytics platform provides intelligence and forecasting that AE Industrial says help reduce lead times and mitigate obsolescence.1

The stated growth plans extend to potential M&A: AE Industrial Managing Partner Jon Nemo said the vehicle will provide additional capital for organic initiatives and potential strategic acquisitions.1

Pension fund alleges York Space Systems omitted satellite funding decision from IPO filing

The complaint alleges the Pentagon decided by 2025 against funding Tranche 3 of the Transport Layer, at least in material part over York's inadequate performance.

Teamsters Local 710 Pension Fund sued York Space Systems in federal court in Colorado on Oct. 19. It alleges York's IPO registration statement omitted a Pentagon decision against funding Tranche 3 of the Space Development Agency's Transport Layer in the proposed fiscal 2026 budget.1

The complaint puts that decision before an offering that it says raised $629 million in gross proceeds. It says the Space Development Agency historically accounted for substantially all of York's revenue and backlog.1

The fund alleges the Pentagon had decided against the funding by 2025, due at least in material part to York's inadequate performance.1

Defendants include private equity firm AE Industrial Partners, which owned York through affiliates before the IPO, and IPO underwriters including Goldman Sachs, Jefferies and Wells Fargo.1

A complaint dated Aug. 31 alleges a Space Force budget released in April revealed an immediate halt to third-tranche Transport Layer payments. That complaint alleges York failed to disclose that onboard mission and payload software was not fully functional before satellites launched.3

Lead-plaintiff motions are due Oct. 30, according to plaintiff counsel Robbins Geller.2

The Teamsters fund's disclosure argument extends to an alleged funding decision in a proposed budget before congressional appropriation. It argues SEC Regulation S-K Item 303 required disclosure of known trends or uncertainties before the offering.1
